TERMS, CONDITIONS, RESEARCH-USE CERTIFICATION, ASSUMPTION OF RISK, INDEMNIFICATION & LIMITATION OF LIABILITY

Company: XOCI LLC doing business as “NextGen” (“NextGen,” “Company,” “we,” “us,” or “our”).

IMPORTANT — PLEASE READ BEFORE PURCHASING

ALL PRODUCTS SOLD BY NEXTGEN ARE OFFERED STRICTLY FOR LEGITIMATE LABORATORY, ANALYTICAL, AND IN-VITRO RESEARCH PURPOSES ONLY. THEY ARE NOT FOR HUMAN OR ANIMAL CONSUMPTION, INGESTION, INJECTION, ADMINISTRATION, APPLICATION, DIAGNOSTIC USE, THERAPEUTIC USE, CLINICAL USE, OR VETERINARY USE.

NEXTGEN PRODUCTS ARE NOT OFFERED OR INTENDED AS DRUGS, FOODS, DIETARY SUPPLEMENTS, COSMETICS, MEDICAL DEVICES, OR PRODUCTS FOR THE DIAGNOSIS, TREATMENT, CURE, MITIGATION, OR PREVENTION OF ANY DISEASE OR MEDICAL CONDITION.

By checking the acceptance box and completing a purchase, you (“Purchaser,” “Buyer,” “you,” or “your”) expressly acknowledge that you have read, understood, and voluntarily agree to be legally bound by these Terms.

If you do not understand or agree with every provision below, DO NOT PURCHASE OR USE NEXTGEN PRODUCTS.

1. RESEARCH USE ONLY

Every product supplied by NextGen is sold exclusively for legitimate laboratory, analytical, educational, scientific, or in-vitro research.

Products must NOT be:

  • consumed, ingested, injected, inhaled, implanted, absorbed, or otherwise administered to or used on any human;
  • administered to or used on any animal;
  • used for self-experimentation;
  • used for diagnostic, therapeutic, preventative, clinical, or veterinary purposes;
  • incorporated into any food, beverage, dietary supplement, cosmetic, drug, compounded preparation, medical device, or consumer product;
  • represented, advertised, prescribed, recommended, distributed, or resold for human or veterinary use; or
  • used for any purpose prohibited by applicable federal, state, or local law.

The designation “Research Use Only” is a substantive condition of sale and not merely a product-label disclaimer.

2. PURCHASER REPRESENTATIONS AND WARRANTIES

As a material condition of NextGen agreeing to sell products to you, you represent, warrant, certify, and agree that:

  1. You are at least 21 years of age and legally competent to enter into this Agreement.
  2. You are purchasing the products exclusively for lawful research purposes.
  3. You possess, or will ensure that persons handling the products possess, sufficient scientific knowledge, training, facilities, equipment, and procedures to safely handle research materials.
  4. You understand that the products have not been offered to you as products approved for human or veterinary use.
  5. You will not use, direct another person to use, or knowingly permit any product to be used on or administered to a human or animal.
  6. You will comply with all federal, state, local, and other laws and regulations applicable to the purchase, possession, storage, handling, transportation, research, disposal, resale, or other use of the products.
  7. You will independently determine whether purchasing, possessing, importing, exporting, handling, or using a particular product is lawful in your jurisdiction.
  8. You will not resell, redistribute, transfer, advertise, or otherwise supply any NextGen product for human consumption, medical treatment, self-administration, veterinary use, or another prohibited purpose.
  9. You are not relying upon NextGen, its website, PeptidePal, social-media content, customer support, product descriptions, articles, graphics, or other materials as medical advice or instructions for human use.
  10. All information you provide to NextGen concerning your identity, age, qualifications, intended research use, billing, shipping, and regulatory status is truthful and accurate.

NextGen reserves the absolute right to refuse, cancel, suspend, or terminate any transaction where it reasonably suspects that a product may be purchased, possessed, transferred, or used for a prohibited or unlawful purpose.

3. NO MEDICAL ADVICE

Nothing appearing on the NextGen website, PeptidePal, product packaging, educational materials, social-media accounts, customer communications, or other Company materials constitutes medical advice, diagnosis, treatment advice, prescribing information, or a recommendation that any person use a research product.

Information concerning scientific studies, mechanisms, compounds, research findings, or published literature is provided solely for informational and research purposes.

Purchasers must not interpret educational information as authorization or instruction to administer a NextGen research product to themselves or another person.

4. REGULATORY STATUS

Unless expressly stated otherwise in writing for a particular product, NextGen makes no representation that its research products have been approved by the United States Food and Drug Administration for administration to humans or animals.

The sale of a product for research purposes does not constitute a representation regarding its suitability, safety, efficacy, or legality for any other purpose.

Purchaser bears responsibility for determining and complying with laws and regulations applicable to Purchaser’s intended legitimate research activities.

5. INDEPENDENT EVALUATION AND HANDLING

Before handling any product, Purchaser is responsible for conducting an independent evaluation of available scientific literature, safety information, appropriate laboratory practices, storage requirements, protective equipment, disposal requirements, and other relevant precautions.

Purchaser accepts responsibility for establishing appropriate laboratory controls and procedures.

6. ASSUMPTION OF RISK

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PURCHASER KNOWINGLY AND VOLUNTARILY ASSUMES THE RISKS ASSOCIATED WITH PURCHASER’S POSSESSION, STORAGE, HANDLING, TRANSPORTATION, RESEARCH, TRANSFER, DISPOSAL, MISUSE, OR UNAUTHORIZED USE OF THE PRODUCTS.

Purchaser acknowledges that NextGen is agreeing to supply products in reliance upon Purchaser’s representations that the products will be used exclusively for lawful research purposes.

Nothing in this Agreement is intended to exclude or waive liability that applicable law prohibits a party from excluding or waiving.

7. PROHIBITED MISUSE

Any human or veterinary administration, self-experimentation, unauthorized clinical use, or other non-research use constitutes an unauthorized use of the product and a material breach of this Agreement.

Such conduct is outside the scope of the purpose for which NextGen offers and sells its research products.

NextGen reserves the right to terminate accounts, refuse future orders, and take other lawful measures where it reasonably believes that a Purchaser has violated these restrictions.

8. INDEMNIFICATION

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Purchaser agrees to defend, indemnify, and hold harmless NextGen, its parent companies, subsidiaries, affiliates, owners, members, managers, directors, officers, employees, contractors, representatives, agents, licensors, service providers, successors, and assigns from and against third-party claims, demands, actions, proceedings, damages, judgments, liabilities, penalties, fines, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  • Purchaser’s breach of this Agreement;
  • Purchaser’s violation of applicable law;
  • Purchaser’s handling, storage, transportation, transfer, disposal, resale, or unauthorized use of a product;
  • any human or animal administration undertaken, caused, facilitated, encouraged, or permitted by Purchaser;
  • Purchaser’s misrepresentation concerning the intended use of a product; or
  • Purchaser’s resale, redistribution, advertising, labeling, or representation of a NextGen product.

This provision does not require indemnification to the extent prohibited by applicable law.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXTGEN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE PURCHASE, POSSESSION, STORAGE, HANDLING, TRANSFER, OR USE OF A PRODUCT, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, OR LOSS OF DATA.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXTGEN’S AGGREGATE CONTRACTUAL LIABILITY ARISING FROM A PARTICULAR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO NEXTGEN FOR THE PRODUCT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR WAIVES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR WAIVED UNDER APPLICABLE LAW.

10. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTS ARE SUPPLIED FOR RESEARCH USE ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT FOR ANY EXPRESS WRITTEN PRODUCT SPECIFICATIONS PROVIDED BY NEXTGEN.

NEXTGEN DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEXTGEN MAKES NO WARRANTY THAT ANY PRODUCT IS SAFE OR EFFECTIVE FOR HUMAN OR VETERINARY USE, AND NO SUCH USE IS AUTHORIZED.

11. PEPTIDEPAL

PeptidePal is an educational, organizational, and research-information technology platform and is separate from any authorization to use NextGen research products.

Access to educational content, tracking functionality, community forums, promotional discounts, or other PeptidePal functionality does not alter the Research Use Only status of NextGen products and must not be interpreted as medical advice, prescribing information, dosage instructions, or authorization for human or veterinary administration.

Any NextGen client discount for PeptidePal is a commercial benefit only and does not create a physician-patient relationship, pharmacist-patient relationship, healthcare-provider relationship, fiduciary relationship, or professional duty of care.

12. COMMUNITY FORUM

Any community or client forum is provided for general informational discussion.

Content posted by users represents the views of those users and is not necessarily reviewed, endorsed, verified, or adopted by NextGen.

Users may not use the forum to promote or instruct others regarding unlawful human or veterinary use of research products.

NextGen reserves the right to moderate or remove content and suspend users in accordance with its community policies.

13. RIGHT TO REFUSE OR CANCEL ORDERS

NextGen may refuse, restrict, suspend, or cancel an order where it reasonably believes that:

  • the Purchaser has provided inaccurate or misleading information;
  • products may be intended for human or veterinary administration;
  • a transaction may violate applicable law;
  • products may be improperly resold or redistributed; or
  • completing the transaction could create regulatory, safety, fraud, or compliance concerns.

14. GOVERNING LAW

These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, except to the extent federal law governs.

The appropriate governing-law and forum provisions must be completed based upon NextGen’s legal entity, principal place of business, and jurisdictions in which it operates.

15. DISPUTE RESOLUTION

Any arbitration agreement, class-action waiver, jury-trial waiver, governing forum, small-claims exception, opt-out mechanism, and consumer notices shall be drafted and implemented in accordance with the law applicable to NextGen and the Purchaser.

No arbitration or class-action provision should be inserted into these Terms without jurisdiction-specific legal review.

16. SEVERABILITY

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with NextGen’s Privacy Policy, Shipping Policy, Return Policy, Research Use Policy, and any other policies expressly incorporated by reference, constitute the agreement governing the applicable transaction, except for terms that applicable law does not permit the parties to modify or waive.

18. ELECTRONIC ACCEPTANCE

By affirmatively checking the acceptance box and selecting “AGREE & COMPLETE PURCHASE,” Purchaser:

  • confirms that Purchaser had an opportunity to review these Terms before purchasing;
  • acknowledges the Research Use Only restrictions;
  • makes the Purchaser representations and certifications contained above;
  • manifests Purchaser’s affirmative assent to this Agreement; and
  • agrees that Purchaser’s electronic acceptance may be maintained as evidence of that assent to the extent permitted by applicable law.
